These Terms of Service ("Terms") govern your use of the services provided by Guruji Tech Global ("we", "us", or "our"). By engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

These Terms apply to all services provided by Guruji Tech Global, including but not limited to:

2. User Responsibilities
When using our services, you agree to the following responsibilities:
- Accurate information: Provide complete and accurate information required for the delivery of services
- Authorised use: Use our services only for lawful purposes and in accordance with these Terms
- Security compliance: Maintain the confidentiality of any account credentials and notify us immediately of any unauthorised access
- Timely payments: Make all payments in accordance with the agreed payment terms and schedules
- Intellectual property rights: Respect our intellectual property and the intellectual property of third parties in all dealings
3. Service Availability
We strive to maintain reliable and consistent service delivery:
Uptime SLA
We target 99.9% uptime for all hosted services and platforms, measured on a monthly basis.
Scheduled Maintenance
Planned maintenance windows will be communicated with a minimum of 48 hours' advance notice via email or through our status page.
Emergency Maintenance
In rare cases, emergency maintenance may be performed without prior notice to address critical security vulnerabilities or service-impacting issues.
4. Limitation of Liability
To the maximum extent permitted by applicable law:
- Guruji Tech Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services
- Our total aggregate liability shall be limited to the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim
- No warranty is provided beyond the express terms set out in the applicable service agreement or statement of work
5. Intellectual Property
Intellectual property rights are governed as follows:
- Pre-existing IP: All pre-existing intellectual property remains the sole property of its respective owner
- Client deliverables: Upon full payment, the client owns all deliverables specifically created for them under the applicable project scope
- Licence to use: We retain a non-exclusive licence to use any work produced for the purpose of service delivery, portfolio display, and internal reference, unless otherwise agreed in writing
6. Payment Terms
The following payment terms apply unless otherwise agreed in writing:

| VAT | All prices are exclusive of VAT, which will be charged at the applicable rate |
| Late payment | Overdue invoices incur interest at the statutory rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 |
7. Cancellation
Cancellation terms vary depending on the service type:
- Monthly services: May be cancelled with 30 days' written notice prior to the next billing cycle
- Annual contracts: Require 60 days' written notice before the end of the contract term for cancellation or non-renewal
- Refunds: Pro-rata refunds will be issued for any unused portion of pre-paid services, calculated from the effective date of cancellation
8. Dispute Resolution
In the event of any dispute arising from or in connection with these Terms, the following process shall apply:
Good Faith Negotiation
The parties shall first attempt to resolve the dispute through direct, good faith negotiation within 30 days of written notification.
Mediation
If negotiation fails, the parties agree to submit the dispute to mediation under a mutually agreed mediator before pursuing litigation.
Courts of England and Wales
These Terms shall be governed by and construed in accordance with the laws of England and Wales, and any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with any breach of these Terms by the indemnifying party.
This mutual indemnification obligation shall survive the termination or expiration of the service agreement.
